Research Use Only Purchase Agreement

Effective Date: September 20, 2026

This Research Use Only Purchase Agreement (“Agreement”) applies to all products purchased from Alux Research (“Alux Research,” “we,” “us,” or “our”).

By placing or completing an order, the purchaser (“Customer,” “you,” or “your”) confirms that they have read, understood, and agreed to this Agreement.

1. Research Use Only

All products offered by Alux Research are sold exclusively for legitimate laboratory, analytical, and scientific research purposes.

Unless expressly stated otherwise in writing by Alux Research, products are not intended, approved, or offered for human or veterinary consumption or administration and are not sold for medical, therapeutic, diagnostic, pharmaceutical, dietary, cosmetic, or recreational use.

You agree not to use, administer, market, distribute, or represent any Alux Research product for a purpose inconsistent with its labeling or this Agreement.

Alux Research does not provide medical advice, dosing recommendations, treatment protocols, or instructions for human or veterinary use.

2. Purchaser Qualifications & Representations

By purchasing from Alux Research, you represent and warrant that:

• You are legally capable of entering into this Agreement.
• You are legally permitted to purchase and possess the products ordered in your jurisdiction.
• Your purchase is for a lawful research purpose.
• You have the knowledge, training, facilities, supervision, or other resources reasonably necessary to handle the products safely and appropriately.
• You will comply with all applicable federal, state, local, and other laws and regulations.

Alux Research does not independently determine whether a particular product or research activity is lawful in every jurisdiction. That responsibility remains with the Customer.

3. Handling, Storage & Safety

Research materials may present known or unknown hazards if improperly handled, stored, transported, combined, or disposed of.

The Customer is responsible for:

• Reviewing applicable product information before handling.
• Maintaining appropriate laboratory controls and safety procedures.
• Following labeled storage requirements.
• Preventing unauthorized access, exposure, or use.
• Preventing contamination or cross-contamination.
• Properly disposing of products and related materials in accordance with applicable requirements.

The Customer assumes responsibility for determining whether a product is suitable for the Customer’s particular lawful research application.

4. Prohibited Uses

Products purchased from Alux Research may not be used or promoted for:

• Human or veterinary consumption or administration.
• Diagnosis, treatment, mitigation, cure, or prevention of disease.
• Unauthorized medical, therapeutic, or pharmaceutical purposes.
• Incorporation into drugs, dietary supplements, foods, beverages, or recreational products.
• Any unlawful purpose.
• Any application inconsistent with the product’s labeling or stated research designation.

Alux Research reserves the right to refuse or cancel transactions when we reasonably believe a purchase or intended use is inconsistent with these requirements.

5. Product Testing, Specifications & Certificates of Analysis

Where applicable, Alux Research may provide product specifications, analytical testing information, or a Certificate of Analysis (“COA”).

A COA or other analytical document applies only to the product, batch, sample, testing methodology, and results identified in that document.

Analytical information does not constitute medical advice, establish suitability for human or veterinary use, or authorize use outside the product’s stated research purpose.

Customers remain responsible for determining whether a product meets the requirements of their particular research application.

6. Assumption of Risk

The Customer acknowledges that research materials may involve inherent and potentially unknown risks.

To the fullest extent permitted by applicable law, the Customer assumes responsibility for risks arising from the Customer’s possession, handling, storage, transportation, experimentation, disposal, or other use of purchased products.

Alux Research is not responsible for loss, injury, or damage resulting from misuse, unauthorized use, improper handling, improper storage, contamination caused after delivery, or use contrary to product labeling or this Agreement.

7. Third-Party Transfer & Resale

The Customer may not relabel, advertise, distribute, transfer, or resell Alux Research products for human or veterinary consumption or for any other unauthorized or unlawful purpose.

Any lawful transfer or resale remains subject to applicable laws and regulations.

Alux Research is not responsible for representations, modifications, relabeling, handling, or unauthorized uses undertaken by an independent third party after a product leaves Alux Research’s control.

8. Order Review & Refusal

Alux Research reserves the right, subject to applicable law, to refuse, limit, hold, or cancel an order when reasonably necessary for safety, fraud prevention, legal compliance, payment verification, shipping restrictions, or enforcement of this Agreement.

We may request additional information reasonably necessary to verify a transaction, purchaser eligibility, or intended research purpose.

An order confirmation does not prevent Alux Research from subsequently canceling an order when a legitimate compliance or transaction concern is identified.

9. Warranties

Any express product specification or warranty provided by Alux Research will be limited to the terms expressly stated in the applicable product documentation or policy.

Except for such express representations and warranties that cannot legally be excluded, products are provided “as is” and “as available.”

To the fullest extent permitted by applicable law, Alux Research disclaims implied warranties, including implied warranties of merchantability and fitness for a particular purpose.

Nothing in this Agreement limits a statutory warranty, remedy, or consumer right that cannot lawfully be waived.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Alux Research and its owners, officers, employees, contractors, agents, and affiliates shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages resulting from the purchase, possession, handling, storage, transportation, experimentation, disposal, misuse, or unauthorized use of a product.

No provision of this Agreement excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.

11. Indemnification

To the fullest extent permitted by applicable law, the Customer agrees to indemnify, defend, and hold harmless Alux Research and its owners, officers, employees, contractors, agents, and affiliates from third-party claims, damages, liabilities, losses, and reasonable legal expenses arising from:

• The Customer’s unlawful or unauthorized use of a product.
• Material violation of this Agreement.
• Unauthorized representations regarding an Alux Research product.
• Unlawful resale, distribution, or transfer of a product.

This provision does not apply to liability that cannot lawfully be shifted or excluded.

12. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

To the extent permitted by law and subject to any separate arbitration terms contained in the Alux Research Terms & Conditions, disputes arising from a purchase or this Agreement shall be resolved through binding individual arbitration rather than a jury trial.

To the extent enforceable under applicable law, disputes shall be brought on an individual basis and not as part of a class, collective, consolidated, or representative action.

If any portion of this section is determined to be unenforceable, the remaining enforceable provisions shall remain in effect.

13. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions shall continue in full force and effect.

14. Email Communications and Marketing Preferences

Alux Research may send emails necessary to administer your account and orders, including account verification, password resets, payment notices, order confirmations, shipping updates, and customer-service communications.

You may also subscribe to Alux Research marketing emails through our newsletter popup, footer signup, or another clearly identified subscription option.

By accepting these Terms & Conditions when creating an account, you agree to receive marketing emails from Alux Research, including product announcements, special offers, cart reminders, and follow-ups. You may unsubscribe at any time using the unsubscribe link in our marketing emails.

You may withdraw your marketing permission at any time using the unsubscribe link in our promotional emails or by contacting admin@aluxresearch.com. Unsubscribing does not prevent necessary account or order communications.

We may use email service providers to manage communications in accordance with our Privacy Policy.

15. Customer Acknowledgment

By completing a purchase from Alux Research, you expressly acknowledge and agree that:

• You have read and understand this Agreement.
• You are purchasing products solely for lawful research purposes.
• You understand that the products are not offered for human or veterinary consumption or administration.
• You accept responsibility for lawful possession, handling, storage, transportation, use, and disposal.
• You will comply with applicable laws, product labeling, and Alux Research policies.
• You agree to be bound by this Agreement and the applicable Alux Research Terms & Conditions.

If you do not understand or agree to these terms, do not purchase, or possess Alux Research products.
